ROTARY CLUB OF SAN FRANCISCO
President JT Forbus called the Board meeting via Zoom to order at 4 p.m. on November 24, 2020. A quorum was present. Also attending were Lisa Christian and Past President Scott Plakun.
 
CLUB ADMINISTRATION
Minutes:  The Board reviewed and approved the minutes for October 27, 2020 prepared by Dora Dye. 
 
Treasurer’s Report:  Gary Dales discussed the highlights of the balance sheet and the statement of operations. The Board reviewed and approved the Treasurer’s Report.
 
ACTION LEADERSHIP PROGRAM WITH STUDENTS (ALPS)
David Dye and Lisa Christian gave an update on ALPS. They identified the current ALPS projects and discussed the challenges, such as school closures and inability to meet in person. Brian Lan joined and described his experience serving at an ALPS project. Following the report by David, Lisa, and Brian, Gary asked that written progress reports include 1-2 sentences on the status of each ALPS project.
 
NEW MEMBERS
The Board considered and approved Dan Davies and Margaret Miley for membership in our Club.
 
BYLAWS SUBCOMMITTEE
Dora gave an overview of the amendments that she was aware of to the Bylaws of the Rotary Club of San Francisco. The Board decided to form a Bylaws Subcommittee to review the current Bylaws and discussed possible candidates to serve on this Subcommittee.
 
FINANCE SUBCOMMITTEE
A financial audit being too expensive, the Board decided to form a Finance Subcommittee to review our Club’s financial records and procedures. The Board discussed possible candidates to serve on this Subcommittee.
 
DIVERSITY, EQUITY, and INCLUSION (DEI) SUBCOMMITTEE
Scott Plakun introduced the DEI Subcommittee to the Board: its mission and the Subcommittee members. This Subcommittee had been meeting weekly to discuss diversity, equity, and inclusion issues in the community and in our Club.
 
COMMITTEE REPORTS
Vocational Service:  Sunny Singh gave an update on the responses to the Talent Survey. He also mentioned that there would be a Rotary Means Business event in early 2021 with District 5150.
 
PR and Communications: Brian talked about taking action photos and a possible course on editing videos.
 
International Service: Susan Dean discussed requests for funding from a Rotary club in Ecuador and in India.
 
Membership: Terry Pickering talked about how the Membership Committee was exploring different ways to engage and connect with members in order to be more impactful. 
 
Development: Christopher Wiseman announced that the 50/50 Campaign had reached 75% of its goal. At the upcoming Holiday Party, he planned to give a report on the Campaign and asked the Board to provide photos of projects completed in 2020. 
 
Community Service:  Bob reminded everyone that it was no longer necessary to sign the photo release at every Club event. Signing the photo release once meant that permission to publish photos was perpetual.
 
ROTARY SERVICE, INC.
The Board of Trustees of Rotary Service, Inc. met on November 24, 2020; a quorum was present.
 
Minutes: The Trustees reviewed and approved the minutes for October 27, 2020.
 
Treasurer’s Report:  Gary Dales discussed the highlights of the balance sheet and the statement of activity as of October 31, 2020 and for the four months then ended. The amounts collected in October under the 50/50 campaign had begun to arrive in our account. The Trustees approved the Treasurer's Report.
 
DocuSign Subscription: The Trustees agreed to purchase an annual subscription to DocuSign.

Role of the San Francisco Rotary Foundation in Rotary Service, Inc.: The Trustees discussed the advantages of having a Board member of the San Francisco Rotary Foundation (SFRF) sit on the Board of Rotary Service, Inc. (RSI). This would strengthen the relationship between SFRF and RSI. The SFRF member would be an ex officio member with no voting rights in RSI. 

Due to the upcoming holidays, the Board of the Rotary Club of San Francisco and the Board of Rotary Service, Inc. agreed to not meet in December 2020. The next meeting would be held on January 26, 2021. The meeting was adjourned at 5:37 p.m.
